StayCloze provides Image Posting, Video Posting, Audio Posting, Documents Posting, and other services to users. StayCloze includes social and interactive features like Instant Messaging (Chat), Groups, Pages and Blogs. These images, videos, audio files & documents, interactions on StayCloze etc. posted by the any users shall be the Content.
If you install, use, access StayCloze or any of its features, you have read and accepted these terms and conditions. You have also accepted the StayCloze ‘Privacy Policy, and our Community Guidelines, and other terms which are available on the StayCloze Website, StayCloze App, and otherwise. Please make sure to read these documents. By using StayCloze, you are entering into a binding contract(s) with StayCloze. Your contract with us which includes the Terms and Conditions and Content Policy, the Privacy Policy and more. If you don’t agree with and accept the above, please do not use, install, access StayCloze or any of its features.
ACCOUNT & REGISTRATION
To register for our services your age must be above 13. You need to assure that provided information is correct and accurate at the time of creating the account with us also, you need to keep our password confidential.
You will only responsible (to us and to others) for the activity on your account and its consequences.
If at some time, if you fail to comply with the provision of these terms and activities occur on your account which may be cause damage to the Services or violate any third party rights or violate any laws or regulations, or for other reason, we reserve the right to, at our discretion, disable your account and delete or disable Content you upload or share.
Your account can be deleted by following steps.

You agree that you shall not host, display, upload, share, modify, publish, transmit or update any information that:

2. grossly harmful, obscene, harassing, blasphemous defamatory, pornographic, pedophilic, invasive of another's privacy, hateful, libelous, or racially, ethnically objectionable, disparaging, relating or gambling, or otherwise unlawful in any manner whatever;
3. harms minors in any way;
4. contravene any patent, copyright, trademark, or other proprietary rights;
5. violates of any law for the time being in force;
6. misleads the addressee about the origin of such messages or communicates the information which is grossly offensive in nature;
7. impersonates another person;
8. contains desktop viruses or any other computer code, or programs designed to interrupt, damage or limit the functionality of any computer resource;
9. unity, integrity, defense, security or sovereignty of India, friendly relations with foreign countries, or public order or causes incitement to the commission of any cognizable offence or prevents investigation or insulting any other nation;
10. intimidates or harasses another, or promotes sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
11. contains material that contains a threat of any kind, including threats of physical violence;
12. is slanderous or defamatory.
You accept and agree that the Content uploaded is the sole responsibility of the all user who has uploaded such Content and the views expressed are their own. StayCloze is not responsible for the Content posted by the Users. You will be only responsible for the Content posted, shared, modified uploaded, transmitted, updated and hosted by you.
You agree that the use of StayCloze’s services will conform to the Community Guidelines.
If any violation of these Terms is brought to our actual knowledge by an affected person, we shall act within forty-eight hours and where applicable, work with the user or user in order to delete such content with contradict these terms. We will not cherish you, the Content posted by you is taken down/deleted or your account is deactivating pursuant to the above. We will save or reserve such information and associated records for at least 90 days for investigation purposes. Please contact the grievance officer whose details are, mentioned in the last section of these Terms, in case of any violation.

CHILDREN'S PRIVACY
Under the age of 13 may not use are services. We do not knowingly collect personally identifiable information from children under 13 age .In any case if child under 13 has provide any personal information to us we immediately remove such information from our server. Being a parent or guardian and you are aware that your child has provided us with personal information, please contact the grievance officer whose details are provided in the last section of these Terms.
DEVICES AND SOFTWARE
You must have devices, software and proper data connection to use our services. However, these cannot be supplied by us. In order to use our services you need to agree to download and install updates of our services.
DEVICE STORAGE PERMISSION
You need to provide us the read and write access so that we can upload your content on our server and provide it to the users. You assure you are authorized to provide us such permissions to allow us to offer StayCloze Services.

We may amend or update these Terms. We can amend these terms and provide you the latest updated terms and conditions with “Last Updated date”. Your continued use of StayCloze confirms your acceptance of these Terms, as amended. If you do not agree with or accept these Terms, as amended, you must stop using StayCloze. Kindly review on these Terms from time to time. Changes are more effective immediately after they are posted on this page.
INDEMNITY
You agree to protect, cover, and hold risk-free us, our parent(s), subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents and advisors from any and all claims, liabilities, costs, and expenses, including, but not bind to, attorneys’ fees and expenses, arising out of a violation of contract by you or any user of your account of these Terms and conditions or the Privacy Policy or Community Guidelines and your restricted, representation and warranties therein.
EXCLUSION OF WARRANTIES
Provided services are on “as is basis” and we do not signify or guarantee that the use of the Services will be continuous, timely, safe or free from error; that such info obtained by you as a result of the use of services will be correct or accurate.
Unexpressed warranties as to the satisfactory quality, fitness for purpose of these Services are hereby excluded.
LIMITATION OF LIABILITY
We shall not bind to pay any damages or losses or claims except the following:

GOVERNING LAW
The validity and enforceability of these Terms and Conditions and Content Policy, Privacy Policy and Community Guidelines will be governed and construed under the eye of Indian law.
DISPUTE RESOLUTION
Such disputes may refer as final resolution by both the parties under the Arbitration and Conciliation Act 1996. Three attributors shall consist in Tribunal out of which 2 attributors shall appointed by respective parties and rest will appointed by that 2 attributors. The adjudication dealings shall be held at Bangalore, India, Karnataka. English language can only be used in arbitral proceedings. Subject to the above, the Courts at Karnataka, Bangalore shall have exclusive jurisdiction.
SEVERABILITY
In this agreement if any provision is void, unenforceable or forbidden by law in that case, that provision will detach from the agreement and become ineffective or unenforceable. This void provision will not contradict the other provisions which are valid or binding.

If you believe that your copyright-protected work was posted on StayCloze site or app, or otherwise hosted by StayCloze, without authorization, you may submit a copyright infringement notification in the form of an e-mail to copyright@staycloze.com
StayCloze is not responsible for any of the content hosted on our app.
Your complaint must contain the following:
1. The important documents include Phone number, E-mail address, and physical address.
2. An explicit and complete explanation of your work(s) that you good faith has/have been infringed.
3. The URL(s) of the particular video(s) which reputedly contain and infringe the work(s).
4. Have a great faith that use of the material in the manner complained of is not allow by the copyright owner, or by law.

Guidelines
All information submitted in your copyright infringement notification may be forwarded to the purported infringer, or otherwise made public in any way by StayCloze or a third party.
Once we receive actual information of any infringing content in the form mentioned above, we shall act within 48 hours to disable such information.
